Terms of Use
Effective Date: September 10, 2026
Welcome to Featherwork. These Terms of Use (“Terms”) are a binding agreement between you (“you” or “User”) and Featherwork LLC, a Colorado limited liability company (“Featherwork,” “we,” “us,” or “our”). They govern your access to and use of the Featherwork website, mobile and web applications, and related services (collectively, the “Service”).
By creating an account, or by clicking “I agree,” signing up, or signing in to the Service, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case “you” refers to that entity.
1. Description of the Service
Featherwork is a lightweight invoicing and invoice-reminder application that helps contractors and service businesses manage clients, jobs, invoices, and payments. Featherwork offers a free tier with usage limits and a paid “Pro” subscription tier with expanded functionality, as described in Section 5.
We may add, change, or remove features at any time, and may discontinue the Service in whole or in part, though we’ll try to give you reasonable notice of material changes that affect paid subscribers.
2. Eligibility
To use the Service, you must:
- be at least 18 years old and able to form a binding contract;
- be using the Service for a legitimate business purpose, not as a consumer service; and
- not be barred from using the Service under applicable law (for example, due to a sanctions list or export restriction).
3. Account Registration and Security
To use most features, you must create an account by signing up with your name, business information, email address, and a password (or via a supported third-party sign-in).
You agree to:
- provide accurate, current, and complete information during signup and to keep it up to date;
- maintain the confidentiality of your login credentials;
- notify us promptly at hello@featherwork.io if you suspect unauthorized access to your account; and
- accept responsibility for all activity that occurs under your account, whether or not you authorized it, except to the extent caused by our failure to meet our security obligations under these Terms.
We may suspend or terminate your account if information you provide is inaccurate, false, or incomplete, or if we reasonably believe your account has been compromised.
4. Your Data, Your Clients’ Data, and Content You Submit
“User Content” means all data, text, files, and information you or your team submit to the Service, including your business profile, and information about your clients, jobs, and invoices (such as client names, contact details, job details, invoice line items, and payment records).
- Ownership. You retain all ownership rights in your User Content. We don’t claim ownership over it.
- License to us. You grant Featherwork a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content solely as needed to provide, maintain, and improve the Service (for example, generating invoices, sending payment reminders on your behalf, and processing payments through Stripe).
- Your responsibility for third-party data. When you enter information about your clients (such as their name, email, or address) into Featherwork, you are the one collecting and controlling that data — Featherwork simply processes it on your instructions to provide the Service. You represent and warrant that:
- you have all necessary rights, consents, and legal basis to provide your clients’ personal information to us and to have us process it as described in these Terms and our Privacy Policy;
- your use of the Service, including any invoices, reminders, or other communications sent through it, complies with applicable law (including anti-spam, consumer protection, and data privacy laws); and
- you will not use the Service to submit sensitive personal data (such as health information, government ID numbers, or payment card numbers) except where the Service is specifically designed to handle it (for example, payment amounts processed via Stripe).
- Accuracy. You are solely responsible for the accuracy of invoices, amounts, and other information you send to your clients through the Service. Featherwork is a tool, not an accountant or legal advisor, and we don’t review or verify your invoices or financial records.
5. Subscription Plans, Fees, and Billing
- Free tier. Featherwork offers a free tier with limits on the number of active clients and invoices, as described on our pricing page.
- Pro tier. The Pro subscription unlocks unlimited clients and invoices, automated payment reminders, and Stripe payment integration, for a monthly subscription fee shown at checkout.
- No transaction fees. Featherwork does not charge a percentage or per-transaction fee on payments you collect through the Service. (Stripe’s own processing fees apply — see Section 6.)
- Billing. Pro subscriptions are billed monthly in advance and automatically renew each month until canceled. We use Stripe as our billing processor; by subscribing, you authorize us to charge your payment method on file each billing cycle.
- Cancellation. You may cancel your Pro subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; we do not provide prorated refunds for partial billing periods except where required by law.
- Price changes. We may change subscription pricing with at least 30 days’ notice. Continuing to use the Service after a price change takes effect means you accept the new price.
- Taxes. Fees are exclusive of applicable taxes, which we may collect where required.
6. Third-Party Payment Processing (Stripe)
Featherwork uses Stripe, Inc. (“Stripe”) to process payments, including payments your clients make to you through invoices generated in the Service, and payments you make to us for a Pro subscription. When you connect a Stripe account or process a payment:
- you are also agreeing to the Stripe Connected Account Agreement and Stripe’s terms of service;
- Stripe, not Featherwork, collects, stores, and processes payment card and bank account details; and
- Featherwork is not responsible for Stripe’s acts, omissions, fees, holds, or account decisions, though we’ll try to help you resolve issues where we can.
7. Acceptable Use
You agree not to use the Service to:
- violate any law, regulation, or the rights of a third party;
- send unsolicited, fraudulent, or deceptive invoices, reminders, or communications;
- upload viruses, malware, or other harmful code, or attempt to gain unauthorized access to the Service or other users’ accounts or data;
- reverse-engineer, decompile, or attempt to extract the source code of the Service, except where applicable law permits it;
- scrape, crawl, or use automated means to access the Service outside of provided APIs, or resell or white-label the Service without our written permission;
- misrepresent your identity or affiliation, or impersonate any person or entity; or
- interfere with or disrupt the integrity or performance of the Service.
We may investigate and take appropriate action against anyone who violates this section, including suspending or terminating accounts and reporting conduct to law enforcement.
8. Intellectual Property
The Service, including its software, design, text, graphics, logos, and the Featherwork name and marks, is owned by Featherwork LLC or our licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, we grant you no rights in our intellectual property. Any feedback or suggestions you give us about the Service may be used by us without restriction or compensation to you.
9. Transactional Communications
The Service sends transactional emails on your behalf, including invoices and automated payment reminders to your clients, and account, billing, and security notifications to you. You cannot opt out of transactional emails necessary to operate the Service while your account is active, though your clients may unsubscribe from reminder emails where we provide that option, and you may adjust certain notification settings in your account.
10. Third-Party Services and Links
The Service may link to or integrate with third-party services (such as Stripe). We don’t control and aren’t responsible for third-party services, their content, or their practices. Your use of a third-party service is governed by that provider’s own terms and privacy policy.
11. Term, Suspension, and Termination
These Terms remain in effect while you use the Service. You may stop using the Service and delete your account at any time.
We may suspend or terminate your access to the Service, with or without notice, if:
- you breach these Terms or our Acceptable Use provisions;
- we reasonably believe your account poses a security, legal, or fraud risk; or
- required to do so by law.
Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including Sections 4, 8, 12–17) will survive. We will retain or delete your data after termination as described in our Privacy Policy.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that invoices, reminders, or payments will be delivered or processed without delay or error. Featherwork is not a licensed accounting, tax, legal, or financial advisory service, and nothing in the Service constitutes such advice.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FEATHERWORK AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
14. Indemnification
You agree to defend, indemnify, and hold harmless Featherwork and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content, including any client data you submit; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
15. Dispute Resolution — Binding Arbitration and Class Action Waiver
Please read this section carefully. It affects your legal rights, including your right to go to court.
a. Agreement to arbitrate. You and Featherwork agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or Commercial Arbitration Rules, if applicable), rather than in court, except that either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for actual or threatened infringement, misappropriation, or violation of intellectual property rights.
b. Class action waiver. You and Featherwork agree that any arbitration or proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
c. Location and rules. Arbitration will take place in Denver, Colorado, or another mutually agreed location, or may be conducted by phone, online, or based on written submissions where permitted by AAA rules. The arbitrator’s decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.
d. Opt-out. You may opt out of this arbitration agreement by sending written notice to hello@featherwork.io within 30 days of first accepting these Terms, stating your name and that you wish to opt out of arbitration. If you opt out, disputes will be resolved as described in Section 16 (Governing Law) in the courts identified there.
e. Severability. If the class action waiver in this section is found unenforceable as to a particular claim or request for relief, that claim or request must be litigated in court, and all other claims remain subject to arbitration.
16. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. To the extent any dispute is not subject to arbitration under Section 15 (for example, because you opted out), you and Featherwork agree to the exclusive jurisdiction of the state and federal courts located in Denver, Colorado.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through an in-app notice before the changes take effect. Continuing to use the Service after changes become effective means you accept the updated Terms. If you don’t agree, you should stop using the Service and may close your account.
18. General Provisions
- Entire agreement. These Terms, together with our Privacy Policy and any order forms or agreements referenced in them, are the entire agreement between you and Featherwork regarding the Service.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Notices. We may provide notices to you via email, in-app messaging, or posting on our website. You may send legal notices to us at hello@featherwork.io.
